# Terms of Service — v1

**Version:** 1.0
**Effective date:** 2026-07-28
**Status:** Platform Terms of Service

> **Notice:** These Terms govern use of the Voice Agent Platform. They are **not legal advice**.
> Organisations should have counsel review them before relying on them commercially.

---

## 1. Agreement

By creating an account and checking acceptance at signup, you (the Organisation’s authorised
representative) agree to these Terms and the Privacy Policy then in effect. Acceptance is
recorded with the document versions and a timestamp on your user record.

---

## 2. The service

The Platform provides AI voice-agent tooling: agent configuration, outbound/inbound calling
via telephony providers, campaigns, transcripts, analytics, and related APIs/dashboard
features, subject to your subscription plan and quotas.

The Platform acts as **Data Processor**; your Organisation is **Data Controller** for contact
and call content you instruct us to process. See the downloadable Data Processing Agreement
template for processor terms.

---

## 3. Accounts and eligibility

- You must provide accurate account information and keep credentials secure.
- You must be authorised to bind the Organisation you name at signup.
- Age verification requirements (e.g. 18+ under DPDP) may apply separately at signup.
- We may suspend accounts that violate these Terms or pose security/abuse risk.

---

## 4. Acceptable use

You must not use the Platform to:

- Violate applicable law (including telecom, privacy, and consumer-protection rules)
- Harass, defraud, or spam contacts; upload contacts without a lawful basis
- Attempt to compromise Platform security, bypass quotas, or reverse-engineer beyond
  permitted API use
- Misrepresent the agent as a human where disclosure is required (configure AI disclosure
  as required by your jurisdiction)

---

## 5. Plans, meters, and payment

Usage is subject to plan limits (minutes, agents, members, etc.). Payment gateway wiring may
be deferred; when billing is enabled, unpaid or over-limit use may be throttled or suspended
per plan rules and platform feature flags.

---

## 6. Intellectual property

The Platform software, branding, and documentation remain CortexCraft’s (or its licensors’)
property. You retain rights in content you upload (contacts, prompts, recordings you own).
You grant us a limited licence to process that content solely to provide the service.

---

## 7. Confidentiality and data

Each party will protect the other’s confidential information. Personal data processing is
governed by the Privacy Policy, DPA template, and your configuration (consent, retention,
residency). You are responsible for the lawfulness of contact lists and call purposes.

---

## 8. Disclaimers

The service is provided “as is” to the extent permitted by law. AI outputs and voice
behaviour may be imperfect; you must supervise high-risk use cases and comply with sector
rules. We do not warrant uninterrupted telephony or third-party sub-processor availability.

---

## 9. Liability

To the maximum extent permitted by law, Platform liability for any claim arising from these
Terms or the service is limited to fees paid by your Organisation for the service in the
three (3) months preceding the claim (or a statutory minimum if higher). Neither party is
liable for indirect or consequential damages except where liability cannot be limited
(e.g. fraud, death/personal injury, or non-excludable statutory duties).

---

## 10. Termination

You may stop using the service and request account closure. We may terminate or suspend for
material breach, non-payment, or legal risk. On termination, data is retained or deleted
per retention settings and applicable law; export tools should be used before closure where
needed.

---

## 11. Changes

We may update these Terms. Material updates change the version identifier (`terms-v1`,
Version 1.0 → later versions). New signups accept the then-current version; existing users
may be asked to re-accept when we introduce a re-consent gate.

---

## 12. Governing law

Unless otherwise agreed in writing, governing law and venue follow the Platform’s primary
operating jurisdiction as stated in commercial order forms or the DPA. These Terms do not
limit non-waivable consumer or data-protection rights.
